These Terms & Conditions (the “Terms”) form a legally binding agreement between Heritage Fashion L.L.C.-FZ (“Heritage,” “we,” “us” or “our”) and you (the “User” or “Customer”), governing your access to and use of the Ai Frame services and website located at https://aiframe.app (the “Platform” or “Ai Frame”). By creating an account or using the Platform in any way, you confirm that you accept these Terms. If you do not agree, please do not use Ai Frame.
Ai Frame is provided by Heritage Fashion L.L.C.-FZ, a limited liability free zone company organized under the laws of the United Arab Emirates, with its registered address at: Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E.

By accessing, registering, or using Ai Frame, you acknowledge you have read and understood these Terms, and agree to be bound by them. If you are using Ai Frame on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms.
You may only use the Platform if you have the legal capacity to form a binding contract under the laws of your jurisdiction. If you do not have such capacity, please discontinue your use of Ai Frame immediately.
Ai Frame is an AI-powered platform enabling Users to upload images (typically clothing items) and textual prompts to generate synthetic fashion model images (the “Generated Images”). Users can then download or otherwise use these images for their personal or commercial purposes (subject to Section 7 below).
You acknowledge that Ai Frame uses artificial intelligence and may occasionally produce results that are inaccurate, unexpected, or biased. No representation or warranty is given that every Generated Image will perfectly meet your exact requirements. We strive for a 75% satisfaction rate and encourage Users to try additional generations as needed.
You agree not to use Ai Frame for any unethical, illegal, or otherwise objectionable purpose. We maintain a zero-tolerance policy for content that is:
Pornographic, sexually explicit, or NSFW;
Hateful, harassing, or discriminates against any individual or group;
Violent or otherwise encouraging harm;
In violation of any applicable laws or third-party rights.
If we determine, at our sole discretion, that your usage violates any of the above, we may immediately suspend or terminate your account without prior notice.
To use Ai Frame, you must create an account by providing a valid email address, password, and any other information requested during signup. You are responsible for the accuracy and completeness of this information.
You are responsible for maintaining the confidentiality of your login credentials. If you suspect unauthorized use of your account, notify us immediately. We are not liable for any loss or damage arising from unauthorized use of your account.
Ai Frame offers a limited free trial of 6 credits to new Users. Once your free credits are exhausted, you must subscribe to a paid plan to continue using Ai Frame.
Ai Frame provides multiple tiers of paid subscription plans, as listed on our website (https://aiframe.app). Each plan specifies the number of monthly credits, features, and the applicable Fees (the “Subscription”).
All payments are charged in Euros (EUR).
We use Stripe (a third-party payment processor) to facilitate online payments. By submitting your payment details, you grant us the right to charge your chosen payment method for the agreed Fees.
All Fees are exclusive of any applicable taxes, including UAE VAT, unless otherwise stated. If required by law, we may add such taxes to your invoice
You acknowledge that Stripe or your card issuer may charge additional fees (e.g., foreign transaction fees) for which we are not responsible.
Unless otherwise stated or canceled prior to the end of your current subscription term, your subscription may automatically renew at the then-current rate. You authorize us to charge the subscription fee to your payment method on file.

Due to the nature of AI-generated images, we do not offer refunds for dissatisfaction with aesthetic output. However, if there is a clear technical malfunction or a major amount of persistent errors, we may, at our sole discretion, issue a partial or full refund or additional credits.
Users must contact us at support@aiframe.app within a reasonable time to request a refund. We will investigate the matter and respond accordingly.
“User Content” refers to any images, prompts, text, data, or other materials you upload, submit, or transmit via Ai Frame. You represent and warrant that you own or have the rights to all User Content and that it does not infringe any third-party rights or violate any applicable laws.
We reserve the right (but have no obligation) to monitor, edit, or remove User Content that we deem, in our sole discretion, to be in breach of these Terms.
You agree to indemnify and hold us harmless for any claims arising from your User Content, including claims alleging that your User Content violates third-party rights or applicable laws
All intellectual property rights in and to Ai Frame, including but not limited to our software, trademarks, logo, text, and design, remain the exclusive property of Heritage Fashion L.L.C.-FZ (and its licensors, if any). No transfer of ownership is intended by these Terms.
Subject to your compliance with these Terms and payment of all applicable Fees, we grant you a non-exclusive, worldwide, royalty-free license to download, reproduce, and display the Generated Images for lawful personal or commercial use.
Unless expressly permitted in writing by us, you may not sublicense, sell, or transfer the Generated Images to third parties for further redistribution. If you are an agency or studio requiring sublicensing rights, please contact us directly to discuss a custom agreement.
You acknowledge and agree that we may use your Generated Images and/or refer to your brand or trademark (e.g., your logo) in our marketing, portfolio, and promotional materials. If you wish to opt-out of this usage, please contact us at [support@aiframe.app].
Your use of Ai Frame is subject to our Privacy Policy, which describes how we collect, use, store, and disclose personal data. You can find the current version of our Privacy Policy at [[Link to Privacy Policy]]. By using Ai Frame, you consent to these data practices
We host and store data (including User Content) on Amazon Web Services (AWS), which may be located outside the UAE. We take reasonable measures to ensure data security; however, you acknowledge that no method of storage or transmission is completely secure
We strive to comply with applicable UAE data protection laws and internationally recognized data protection principles (such as GDPR). However, your jurisdiction may have additional rules, and you are responsible for complying with local laws regarding data transfer and usage.

These Terms remain in effect for as long as you use or maintain an account on Ai Frame.
You may cancel your subscription or terminate your account at any time from your account settings or by contacting us at [support@aiframe.app]. No pro-rated refunds will be issued unless otherwise stated in Section 5.6.
We may suspend or terminate your access to Ai Frame, at our sole discretion, immediately and without liability, if we believe you are violating these Terms, applicable law, or for any of the following:
1. Non-payment of Fees (exceeding 7 days).
2. Uploading prohibited or infringing content.
3. Engaging in fraudulent or unlawful behavior.
4. Violation of local or international laws that may subject us or others to liability.
Upon termination, your right to use Ai Frame ceases immediately. We may delete or remove your account data and User Content from our servers without liability or obligation to provide further access.
Ai Frame (including all features, functionality, and Generated Images) is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied.
We do not guarantee that every image generated by our AI will meet your requirements or expectations. While we strive for a high level of accuracy and aesthetic quality, errors, omissions, or inaccuracies may occur.
We specifically disclaim any warranty of merchantability, fitness for a particular purpose, non-infringement, or that the Platform will be uninterrupted, error-free, or secure.
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.
If, notwithstanding the other provisions of these Terms, we are found to be liable to you for any damage or loss arising out of or related to your use of Ai Frame, our total cumulative liability shall not exceed the total amount of Fees you have paid to us in the six (6) months preceding the event giving rise to liability.
Certain jurisdictions do not allow limitations on implied warranties or the exclusion/limitation of certain damages. To the extent such laws apply, some or all of the disclaimers, exclusions, or limitations above may not apply to you, and you may have additional rights.

You agree to defend, indemnify, and hold harmless Heritage Fashion L.L.C.-FZ, its affiliates, officers, agents, employees, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
1. Your access to or use of Ai Frame;
2. Your violation of these Terms;
3. Your infringement of any intellectual property or other rights of any party;
4. Any claim that your User Content caused damage to a third party.
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Emirate of Dubai and, to the extent applicable, the federal laws of the United Arab Emirates.
The courts of Dubai shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
Notwithstanding anything to the contrary, we reserve the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect our intellectual property rights or to prevent any unauthorized use of Ai Frame.
We may modify these Terms from time to time to reflect changes in our practices, technologies, legal requirements, or other factors. If we make a material change, we will provide you with notice (e.g., by email or a prominent notice on the Platform).
Your continued use of Ai Frame after the effective date of any updated Terms constitutes your acceptance of such changes. If you do not agree to the updated Terms, you must stop using Ai Frame.
No failure or delay by us in exercising any right, power, or remedy shall operate as a waiver of any such right, power, or remedy
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
These Terms (including any documents referenced herein) represent the entire agreement between you and Heritage Fashion L.L.C.-FZ regarding your use of Ai Frame and supersede all prior or contemporaneous understandings.
Nothing in these Terms shall be construed to create any partnership, joint venture, agency, franchise, or employment relationship between you and Heritage.
We may assign or transfer any of our rights or obligations under these Terms without restriction. You may not assign or transfer your rights or obligations without our prior written consent.
We shall not be liable for any delays or failures to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, or labor disputes.
